The products of Microsophic Inc. are marketed under the name ‘VisualTax’ and provided to end users as CD ROM products and/or as downloads from its web site.
All prices are quoted in Canadian dollars and all orders are placed on a prepaid basis.
Microsophic reserves the right to change advertised prices and any associated charges without advance notice.
Microsophic reserves the right to decline orders from competing companies or suspected sources.
Applicable taxes are shown on the Order Form.
No refund will be granted for VisualTax products unless proof of purchase of equivalent software can be produced within a month following the purchase of the VisualTax product. Refunds are reduced by 15% administration costs based on the purchase price. See also Refund Policy
If you wish to upgrade a product at some point, you may pay the difference between your current product price and that of the product you wish to upgrade to.
This is a legal agreement between you, the licensee “Tax Preparer” (an individual, corporation, partnership or proprietorship), and Microsophic Inc. By installing the package containing the CD-ROM, downloading the software or using it, you agree to be bound by the terms of this agreement.
GRANT OF LICENSE. The License Agreement permits you to
use VisualTax™ (the "Software"), which may include electronic
documentation, on no more than 8 computers at a single location.
The program is licensed to a single Licensee (Tax Preparer as defined above)
under a name typically used in the ‘Prepared by’ section of
the T1 Page 4 or registered with CRA with an Efiler number. Different tax
preparers must get their own licenses even if they are sharing the same
office location.
A single Tax Preparer and his/her staff can use the program concurrently in
a single office, laptop and home, provided that all tax returns are prepared
on behalf of and for the Tax Preparer/Efiler who holds the license of the
software.
A preparer using a different Name in his/her practice, requires a separate License as it is considered a separate business entity.
A single Tax Preparer using the software in more than one office requires separate software licenses for each location. Separate corporations, proprietorships or legal partnerships that are sharing office space each require a separate software license.
You may use the Software on a network, provided the software version you purchased states that the program can be used on a network.
A company with multiple locations must purchase multiple copies of this Software even if the version of the software is designated as ‘Multi-office’. Remote access from another site or location by a computer to a terminal or application-hosting server such as Terminal Server requires that the remote location have a separate license. Also, a separate license is required for each Efiler number.
NUMBER OF TAX RETURNS. Certain versions of the software
are limited to a maximum number of tax returns that can be prepared. The
Tax Preparer must not exceed this number regardless of the number of computers
where the software has been installed. Microsophic reserves the right to
revoke the license and discontinue use of the software without warning upon
detection that such violation has taken place.
PROGRAM KEYS. The software can be activated by Program
Keys supplied by Microsophic Inc to the Tax Preparer. It is the responsibility
of the Tax Preparer to ensure that such keys are not disclosed to third
parties and all reasonable precautions have been taken to ensure that the
program keys are well protected.
UPDATES: Periodically, Microsophic Inc may introduce new versions, updates or releases of the Software. All updates shall become part of the Software and be governed by the terms of this License Agreement.
GOVERNING LAW: This License Agreement is governed by and interpreted in accordance with the laws of the Province of Ontario.
COPYRIGHT. All intellectual property rights in the Software
are owned by Microsophic Inc and are protected by Canadian copyright laws
and international treaty provisions. Microsophic Inc retains all rights
not expressly granted.
The Software is licensed to you only, and may not be sublicensed, transferred,
rented, lent, sold or otherwise disposed of to a third party without Microsophic
Inc's prior written consent.
You may not reverse engineer, decompile, or disassemble the Software.
REMEDIES. Your exclusive remedies shall be, at Microsophic Inc's sole option, (a) the refund of the amount you paid for the Software or (b) the repair or replacement of the Software.
LIMITATION OF LIABILITES. In no event will Microsophic Inc be liable for any indirect, special, incidental, economic, or consequential damages arising out of the use of or inability to use the software, user documentation, or related technical or tax support, including, without limitation, damages or costs relating to the loss of profits, business, goodwill, data, or computer programs, even if advised of the possibility of such damages. In no event will Microsophic Inc's liability exceed the amount paid by you for the software.
